By creating an account, redeeming an invite code, or accessing or using Sonar ("Sonar," the "Service") in any way, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service. If you use Sonar on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to that entity. You must be at least 18 years old and legally able to enter into a contract to use Sonar.
Sonar is operated by Colton Markle, doing business as Sonar (the "Operator," "we," "us," "our"). If the Operator forms a company to run the Service, these Terms and your account transfer to that company and we will update the effective date and notify active members.
Sonar is an informational and educational tool. It reads publicly derived options dealer-positioning data (gamma and vanna exposure by strike, "node" structure, levels, and related analytics) and presents structural analysis of where market makers may be positioned.
Sonar is not, and does not provide:
Sonar's analysis describes behavior of market structure (where price may be absorbed or accelerate), not the direction any instrument will move. Any decision you make is your own.
You are solely responsible for your own investment and trading decisions and for any resulting gains or losses. Before acting on anything you see on Sonar, you should do your own research and consult a licensed financial, investment, tax, or legal professional about your specific situation. You agree that you use Sonar at your own risk.
Trading options and other securities involves a high degree of risk and can result in the loss of some or all of your capital, and options in particular can expire worthless. Leverage magnifies both gains and losses. Market conditions change rapidly, and dealer positioning can shift, reshuffle, or disappear without warning. Past performance and any historical or hypothetical results, including Sonar's published track record, are not indicative of future results. Only risk capital you can afford to lose.
Sonar's analysis is built on data from third-party providers and on models that are hypotheses about market-maker behavior, not established facts. We do not guarantee that any data, level, score, label, grade, or read is accurate, complete, current, or available. Data may be delayed, an end-of-day snapshot, incomplete, or wrong. The Service may show stale, missing, or erroneous figures. You must independently verify anything before relying on it.
Sonar is offered as early-access ("alpha") software. Features may change, break, or be removed without notice; the Service may be unavailable, interrupted, or discontinued at any time; and there is no uptime, availability, or support guarantee. The Service is provided strictly "AS IS" and "AS AVAILABLE" (see Section 12).
Access is currently by invitation only. You agree to (a) provide accurate registration information, (b) keep your credentials confidential, (c) use one account for one person and not share, transfer, or sell your access, and (d) be responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate any account at any time, with or without cause, including for violation of these Terms. We record the date, time, and version of your acceptance of these Terms.
You agree not to: reproduce, redistribute, resell, sublicense, publicly display, or commercially exploit any Sonar content or output; scrape, harvest, or bulk-download data or use bots against the Service; reverse engineer, or attempt to reconstruct our models or data feeds; circumvent access controls, rate limits, or security; misrepresent Sonar's output as personalized advice to others; or use Sonar in violation of any law or exchange or data-provider rule. We grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the Service for your own individual, non-commercial informational use only. Sharing a screenshot of a Sonar read with attribution is fine.
Sonar is provided free of charge during its alpha. Founding members are offered a subscription of US $49.99 per month, locked at that rate for as long as the subscription remains continuously active, beginning only when paid subscriptions open; the price, billing cycle, renewal, and cancellation terms will be presented at that time and incorporated into these Terms. Nothing is charged, and no payment details are collected, until then. We are not obligated to continue any free access.
Sonar, its name, logo, interface, analytics, reads, cards, and all related content and software are owned by us or our licensors and are protected by intellectual-property laws. Except for the limited license in Section 8, no rights are granted to you. Feedback you provide may be used by us without obligation or compensation.
Sonar relies on third-party market-data providers, hosting, and other services. We are not responsible for third-party data errors, outages, or changes, and third-party terms may also apply to that data. Sonar does not connect to, and will never act on, your brokerage account on your behalf.
THE SERVICE AND ALL CONTENT, DATA, ANALYTICS, AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) US $100. YOU ACKNOWLEDGE THAT THESE LIMITS ARE A FUNDAMENTAL BASIS OF THE BARGAIN AND THAT SONAR WOULD NOT BE PROVIDED WITHOUT THEM. You agree to indemnify and hold us harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
You may stop using Sonar at any time. We may suspend or terminate your access at any time, with or without notice or cause. Sections that by their nature should survive termination (including 2–5, 8, 10, 12–14, and 16) will survive.
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, on an individual basis, in the Ohio county of the Operator's principal place of business or by video/telephone hearing; either party may instead bring an individual claim in small-claims court. You and we waive any right to a jury trial and to participate in a class action. You may opt out of this arbitration clause by emailing us within 30 days of first accepting these Terms.
We may update these Terms. If we make material changes, we will update the version and effective date, and active members will be asked to accept the new version the next time they sign in. Continued use after changes take effect means you accept the revised Terms.
Sonar is not directed to any person in any jurisdiction where its use would be contrary to law. The Service is not an offer or solicitation to anyone in any jurisdiction where such an offer or solicitation is unlawful.
